These terms govern use of The Member Ship platform (“the Platform”), provided by The Member Ship (“we”, “us”, “our”). By creating an account or using the Platform, you agree to these terms.

What we provide

The Member Ship is an online membership management tool that lets organisations (“Organisations”) manage their member lists, renewals, and related communications. Organisations sign up for an account and invite administrators to manage it.

Who these terms apply to

• Organisations and their administrators - anyone who creates or manages an account on the Platform.
• Members - individuals who sign up to an Organisation through the Platform. Members interact with the Platform to provide and update their own details; the Organisation, not us, controls how that information is used (see our Privacy Policy).

Accounts

• You must provide accurate information when setting up an account.
• Administrators are responsible for keeping their login details secure and for all activity under their account.
• You must be authorised to act on behalf of your Organisation to set up or manage its account.

Acceptable use

You agree not to: - Use the Platform for any unlawful purpose - Upload false, misleading, or harmful content - Attempt to access another Organisation’s data without authorisation - Interfere with or disrupt the Platform’s operation (e.g. hacking, overloading, reverse engineering) - Use the Platform to send spam or unsolicited communications

We may suspend or terminate accounts that breach these terms.

Data and privacy

Organisations are responsible for the accuracy and lawfulness of the member data they collect and manage through the Platform, and for telling their members how that data will be used. We store and process this data as described in our [Privacy Policy], and we don’t access or use it beyond what’s needed to provide and support the Platform.

Availability

We aim to keep the Platform available and reliable but don’t guarantee uninterrupted access. We may carry out maintenance, updates, or occasionally experience outages. We’ll try to give notice of planned downtime where practical.

Intellectual property

The Platform, including its design, software, and branding, is owned by us or our licensors. Organisations and members retain ownership of the data they submit. You’re granted a limited right to use the Platform for its intended purpose - nothing here transfers ownership of our software or branding to you.

Liability

To the extent permitted by law: - We provide the Platform “as is” and don’t guarantee it will be error-free or uninterrupted. - We’re not liable for indirect or consequential loss (e.g. lost revenue, lost data) arising from use of the Platform. - Nothing in these terms limits any rights you have under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 that can’t legally be excluded.

Termination

Organisations can close their account at any time. We may suspend or terminate access if these terms are breached, or with reasonable notice for other reasons (e.g. discontinuing the service). On termination, we’ll handle any remaining data in line with our Privacy Policy and any legal retention requirements.

Changes to these terms

We may update these terms from time to time. We’ll post the current version on our website with the date it was last updated. Continued use of the Platform after changes take effect means you accept the updated terms.

Governing law

These terms are governed by the laws of New Zealand, and any disputes will be subject to the jurisdiction of the New Zealand courts.
